These Terms of Service ("Terms") govern your access to and use of LedgerGuard's services, websites, APIs, and software (collectively, the "Service") provided by LedgerGuard ("LedgerGuard," "we," "us," or "our").
By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility and Authority
- You must be at least 18 years old and legally able to enter into a binding contract.
- If you use the Service for an organisation, you represent that you can bind that organization to these Terms.
2. Service Description
LedgerGuard provides hosted drift detection and analysis capabilities, including onboarding workflows, API access, alerting, and related reporting features.
We may modify, suspend, or discontinue all or part of the Service at any time.
3. Accounts and Security
You agree to:
- Provide accurate registration and billing information.
- Keep credentials and API keys confidential.
- Promptly notify LedgerGuard of suspected unauthorized access.
- Accept responsibility for activity occurring under your account.
We may suspend or terminate accounts that violate these Terms or create security, legal, or operational risk.
4. Acceptable Use
You may use the Service only in compliance with applicable laws and these Terms.
You must not:
- Access or attempt to access systems without authorization.
- Interfere with service operation or security controls.
- Upload malware or other malicious content.
- Reverse engineer or attempt to extract source code except where prohibited by law.
- Use automated scraping/bots outside documented and authorized interfaces.
- Resell or sublicense access unless explicitly permitted in writing.
5. Customer Data
You retain ownership of data you submit to the Service ("Customer Data"). You grant LedgerGuard a limited, non-exclusive license to host, process, transmit, and display Customer Data solely to provide and improve the Service and meet legal obligations.
You represent that you have all rights and permissions needed for Customer Data you submit.
6. Fees, Billing, and Taxes
- Fees are billed according to your plan or executed order form.
- Unless otherwise stated, fees are paid in USD and are non-refundable.
- You authorise recurring charges for subscription services.
- You are responsible for applicable taxes other than taxes based on LedgerGuard's net income.
7. Privacy and Security
Our handling of personal data is described in `PRIVACY.md`.
We implement reasonable administrative, technical, and physical safeguards. No method of transmission or storage is completely secure.
8. Availability and Support
Service availability targets (if any) are defined by your plan terms or separate SLA commitments. Planned maintenance and force majeure events may affect availability.
Support channels and response targets are described in `SUPPORT.md`.
9. Third-Party Services
The Service may integrate with third-party services. LedgerGuard is not responsible for third-party products, terms, or availability.
10. Intellectual Property
LedgerGuard and its licensors own all right, title, and interest in and to the Service, including software, documentation, branding, and related intellectual property
Except for limited usage rights granted in these Terms, no rights are transferred to you.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEDGERGUARD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEDGERGUARD WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL.
LEDGERGUARD'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE FEES PAID BY YOU TO LEDGERGUARD FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
13. Indemnification
You will defend, indemnify, and hold harmless LedgerGuard and its affiliates, officers, directors, employees, and agents from third-party claims arising out of:
- Your use of the Service;
- Your Customer Data; or
- Your breach of these Terms or applicable law.
14. Term and Termination
These Terms remain in effect while you use the Service.
Either party may terminate for convenience where allowed by plan terms. LedgerGuard may suspend or terminate access for breach, security risk, legal requirements, or non-payment.
On termination, your right to access the Service ends. Data export and deletion are handled per our retention policy and plan terms.
15. Governing Law and Disputes
Any dispute not resolved informally will be resolved by binding arbitration under AAA rules, except either party may bring eligible individual claims in small claims court.
You and LedgerGuard waive class or representative action rights to the extent permitted by law.
16. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated by reasonable means (for example, email or in-product notice). Continued use of the Service after the effective date constitutes acceptance.
